1. Introduction and Acceptance

Welcome to new.salon.io ("New Salon", "Service"), operated by Salonio UG (haftungsbeschränkt) ("Salonio", "Company", "we", "us", "our"), a company registered in Berlin, Germany.

By accessing or using New Salon, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and Salonio. Please read them carefully.

2. Eligibility

To use New Salon, you must:

Be at least 16 years old
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Service under applicable law

If you are between 16 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Registration

3.1 Account Creation

To access most features of New Salon, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account at contact@salon.io.

3.3 One Account Per Person

Each person may maintain only one account. Creating multiple accounts may result in termination of all accounts.

4. Description of Service

New Salon provides:

Website Builder: A visual, drag-and-drop tool for creating and publishing websites with multiple layout options (such as Canvas, Fixed Width, Slideshow and Justified).
Social Network: Features to connect with other users, follow creators, like and comment on content, and build a community.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

5. Subscription and Payment

5.1 Free and Paid Tiers

New Salon offers both free and paid subscription tiers. Free accounts have limited features and storage. Paid subscriptions unlock additional features as described on our pricing page.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for the subscription fees.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.

5.4 Refunds

Monthly subscriptions: No refunds for partial months. Annual subscriptions: You may request a full refund within 14 days of initial purchase or renewal. After 14 days, no refunds will be provided, but you may continue to use the Service until the end of your billing period.

5.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing period.

5.6 Taxes

All prices are exclusive of applicable taxes. You are responsible for paying any taxes associated with your subscription.

6. Invitations and Referral Program

6.1 Invitations

You may invite others to join the Service. Sending invitations is free of charge and is not limited in number. Invitations must not be sent in bulk to people who have not agreed to receive them, and must comply with our Acceptable Use Policy.

6.2 Referral Program

Salonio may offer a referral program that rewards you when people you refer become paying customers of the Service. When the program is available, its specific conditions — including eligibility, the amount and duration of rewards, how and when rewards are paid out, any minimum payout amount, and any benefit for the person you refer — are published on the referral page within the Service and form part of these Terms. Where those conditions differ from this Section 6, the published conditions apply.

6.3 Fair Use

Referring yourself, your own additional accounts, or people acting on your behalf does not qualify for rewards. Rewards are not earned for payments that are refunded, charged back, or cancelled within any qualifying period stated in the program conditions. Salonio may withhold, reverse, or forfeit rewards and exclude participants from the program in cases of fraud, manipulation, spam, or other violations of these Terms or our Acceptable Use Policy.

6.4 Taxes

You are responsible for any taxes that apply to rewards you receive. Salonio may request information needed to pay out rewards lawfully, such as your legal name, address, and tax or VAT identification.

6.5 Changes and Termination

Salonio may change or discontinue the referral program with 30 days' prior notice. Rewards already earned under the conditions in force at the time are not affected by later changes. If your account is terminated for a violation of these Terms, unpaid rewards are forfeited.

7. User Content

7.1 Your Content

"User Content" means all content you create, upload, publish, or display using New Salon, including websites, images, text, designs, and other materials.

7.2 Ownership

You retain all ownership rights to your User Content. Salonio does not claim ownership of your content.

7.3 License to Salonio

By posting User Content, you grant Salonio a worldwide, non-exclusive, royalty-free, sublicensable (solely to service providers acting on our behalf) license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly display, and distribute such content for the purpose of operating, providing, improving, and promoting the Service. "Promoting" means featuring your published site or content in galleries, showcases, or marketing materials; you may opt out of promotional use at any time by contacting support@salon.io. This license continues until you delete your content or account, except for content shared with others that they have not deleted. For clarity: Salonio does not use your content to train artificial intelligence or machine learning models.

7.4 License to Other Users

Content you make publicly available may be viewed and shared by other users in accordance with your privacy settings and our platform features.

8. Content Representations and Warranties

You represent and warrant that:

You own or have the necessary rights to use and authorize the use of your User Content
Your User Content does not infringe any third party's intellectual property rights, privacy rights, or other rights
Your User Content complies with all applicable laws and our Acceptable Use Policy
Your User Content does not contain any viruses, malware, or harmful code

9.1 Community Guidelines

When using social features (following, liking, commenting, messaging), you agree to treat other users with respect, provide constructive feedback, and refrain from harassment, spam, or abusive behavior.

9.2 Interactions

You are solely responsible for your interactions with other users. Salonio is not responsible for the conduct of any user.

9.3 Reporting

You may report inappropriate content or behavior using our reporting tools or by contacting abuse@salon.io.

10. Prohibited Uses

You agree not to:

Violate any applicable law or regulation
Infringe any intellectual property or other rights
Upload or transmit viruses, malware, or other harmful code
Attempt to gain unauthorized access to our systems or other users' accounts
Use the Service for spam, phishing, or fraudulent purposes
Harass, abuse, or harm other users
Impersonate any person or entity
Interfere with the proper functioning of the Service
Circumvent any security measures or usage limits
Use automated tools or bots without permission
Violate our Acceptable Use Policy

11. Intellectual Property

11.1 Salonio's Rights

The Service, including its design, features, and content (excluding User Content), is owned by Salonio and protected by copyright, trademark, and other intellectual property laws.

11.2 Trademarks

"Salon.io", "Salonio", "New Salon", and related logos are trademarks of Salonio UG. You may not use our trademarks without prior written permission.

11.3 Feedback

If you provide feedback or suggestions about our Service, you grant us the right to use such feedback without restriction or compensation.

12. Copyright and DMCA

We respect intellectual property rights and expect users to do the same. If you believe content on New Salon infringes your copyright, please follow the procedures in our DMCA Policy.

We will terminate the accounts of repeat infringers in appropriate circumstances.

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

13.2 Termination by Us

We may suspend or terminate your account if you violate these Terms or our policies, engage in fraudulent or illegal activity, fail to pay subscription fees, or for any other reason at our discretion with reasonable notice.

13.3 Effect of Termination

Upon termination, your User Content may be deleted within 30 days. Data required for legal compliance may be retained longer. No refunds will be provided for termination due to your violation of these Terms. For the treatment of referral rewards upon termination, see Section 6.5.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALONIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY ARISING FROM GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR WHERE LIMITATION IS PROHIBITED BY APPLICABLE LAW.

16. Indemnification

You agree to indemnify and hold harmless Salonio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.

17. Governing Law and Disputes

17.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles.

17.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

17.3 EU Consumer Rights

If you are a consumer residing in the European Union, you may also have rights under the laws of your country of residence. Nothing in these Terms affects your rights as a consumer under mandatory consumer protection laws.

17.4 Online Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr

We are not obligated and generally not willing to participate in dispute resolution proceedings before a consumer arbitration board.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and DMCA Policy, constitute the entire agreement between you and Salonio regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

18.5 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
